Terms and Conditions for Pebble Studio

These Terms and Conditions (the "Terms") govern your access to and use of the Pebble video commerce and marketing platform (the "Platform"), including the websites GetPebbleStudio.com and PebbleStudio.ai.

The Platform is operated by Pebble Labs Pte. Ltd., a company registered in Singapore (UEN: 201821622Z), referred to as "Pebble," "we," "us," or "our."

1. SaaS License & Restrictions

1.1. Limited License: Subject to these Terms and payment of applicable fees, Pebble Labs Pte. Ltd. grants you a non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform via the cloud.

1.2. Restrictions: You shall not:

• Sublicense, sell, or lease the Platform to third parties.

• Reverse Engineer: Attempt to derive the source code, underlying ideas, or algorithms of the Platform.

• Competitive Use: Use the Platform to build a competitive product or service.

• Circumvention: Bypass any technical protection measures or usage limits (e.g., video export caps).

2. Data Security & Privacy

2.1. Data Processing: To the extent that Pebble processes any "Personal Data" (as defined by the Singapore PDPA or GDPR) on your behalf, our Data Processing Addendum (DPA) shall apply.

2.2. Security Measures: Pebble Labs Pte. Ltd. implements industry-standard administrative, physical, and technical safeguards. However, you acknowledge that no SaaS environment is 100% secure, and you are responsible for maintaining the security of your own systems and API keys.

2.3. Usage Data: We may collect and analyze anonymized, aggregated metadata (e.g., platform performance, feature usage) to improve our services. This data does not identify you and remains the property of Pebble Labs Pte. Ltd.

3. Fair Use & Prohibited Conduct

3.1. API & Resource Usage: Your use of the Platform is subject to "Fair Use." If your usage (e.g., server requests, bandwidth, or AI generation) significantly exceeds the average usage of other customers in your tier, we reserve the right to throttle your access or move you to a higher-priced plan. 3.2. Prohibited Content: You may not use Pebble Studio to generate or host content that is:

• Deepfakes or non-consensual sexual imagery.

• Malicious "phishing" videos or scam-related marketing.

• Automated "spam" content that violates third-party social media platform rules.

4. Generative AI & Beta Features

4.1. Input & Output: You are responsible for the "Input" (prompts, images, data) provided to the AI. You represent that you have the right to provide such Input. 4.2. Third-Party AI Models: Pebble utilizes models from third-party providers (e.g., Google, OpenAI). Your use is subject to their respective usage policies. 4.3. Beta Services: We may offer "Beta" features at no charge. These are provided "AS-IS" for testing purposes only, may contain bugs, and may be discontinued at any time without liability.

5. Financial Terms & Audits

5.1. Non-Refundable: All payments are non-refundable, including for unused portions of a subscription. 5.2. Suspension for Non-Payment: We reserve the right to suspend your access within seven (7) days of a failed payment attempt. 5.3. Audit Rights: For Enterprise users, Pebble Labs Pte. Ltd. reserves the right to audit account logs to ensure compliance with seat/user limits.

6. Intellectual Property & Indemnity

6.1. Platform Ownership: Pebble Labs Pte. Ltd. retains all rights, titles, and interests in the Platform, including any "Feedback" (suggestions/improvements) provided by you. 6.2. User Indemnity: You agree to indemnify Pebble Labs Pte. Ltd. against any third-party claims arising from:

• Infringement: Claims that your User Content or AI Inputs infringe on a third party's intellectual property.

• Compliance: Your failure to comply with local advertising and marketing laws.

7. Limitation of Liability

To the maximum extent permitted by law, Pebble Labs Pte. Ltd. shall not be liable for any:

• Loss of profits, data, or business opportunities.

• Indirect, incidental, or consequential damages.

• Errors in AI-generated output.

• Our total liability is capped at the amount paid by you in the 3 months preceding the claim.

8. Term & Termination

8.1. Term: These Terms remain in effect until your subscription is canceled or terminated. 8.2. Effect of Termination: Upon termination, your right to access the Platform ceases. We may delete your User Content after 30 days of account expiration; it is your responsibility to export your data prior to termination.

9. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be settled in the courts of Singapore.
